1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SHB Terminal ("Company", "we", "us", or "our"), governing your access to and use of the SHB Terminal platform, website, and related services (collectively, the "Service").

By accessing or using the Service in any way — including browsing the website, creating an account, or purchasing a subscription — you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, which is incorporated herein by reference.

2. Description of Service

SHB Terminal is a web-based stock market analysis platform that provides users with the following features:

• AI-powered stock screening, trade analysis, and personalised insights
• Real-time and historical market data from third-party data providers
• Insider trading alerts sourced from publicly available SEC EDGAR filings
• Economic calendar with market event notifications
• Sector rotation heatmaps and visualisation tools
• A portfolio what-if calculator and position sizing tool
• A personal trading journal with broker CSV import
• An AI trading coach that analyses uploaded trade history

The Service is provided for informational and educational purposes only. SHB Terminal is not a registered investment adviser, broker-dealer, financial planner, or tax adviser under any applicable law. See Section 9 for our full disclaimer.

3. Eligibility

To use the Service, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
• Have the legal capacity to enter into binding contracts under applicable law
• Not be barred from receiving services under applicable law
• Not have had a previous account terminated by us for violation of these Terms

By using the Service, you represent and warrant that you meet all of the above eligibility requirements. If you are accessing the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

4. Account Registration and Security

To access most features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Keep your account credentials strictly confidential and not share them with any third party
• Immediately notify us at support@shbterminal.com of any unauthorised use of your account or any other security breach
• Accept responsibility for all activities that occur under your account
• Not create more than one account per person without our prior written consent

We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion, including for violation of these Terms or suspected fraudulent activity.

5. Subscription & Payment Terms

SHB Terminal Pro is offered as a monthly subscription service.

Payments are processed exclusively by Lemon Squeezy, our Merchant of Record. Lemon Squeezy handles all payment processing, tax calculation, and remittance. By purchasing a subscription, you agree to Lemon Squeezy's terms of service and privacy policy in addition to these Terms.

• All fees are quoted in USD. Lemon Squeezy may display or charge in your local currency; exchange rates and any conversion fees are determined by Lemon Squeezy.
• Your subscription renews automatically each month on the anniversary of your original purchase date unless you cancel before the renewal date.
• We reserve the right to change the Subscription Fee upon at least 14 days' prior written notice. Continued use after the price change takes effect constitutes acceptance.
• All fees are exclusive of applicable taxes. Lemon Squeezy, as Merchant of Record, is responsible for calculating and remitting applicable taxes.

6. Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting us at support@shbterminal.com.

• Cancellation takes effect at the end of the current billing period. You will retain full access to all features until that date.
• We do not provide pro-rated refunds or credits for partial billing periods, unused features, or time remaining after cancellation.
• If you cancel and later resubscribe, you will be charged the then-current subscription price.

7. Intellectual Property

SHB Terminal and all of its content, features, functionality, design, software, algorithms, source code, trademarks, service marks, trade names, and logos are the exclusive property of SHB Terminal and its licensors, and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws worldwide.

You are granted a limited, personal, non-exclusive, non-transferable, non-sublicensable licence to access and use the Service solely for your own personal, non-commercial purposes, subject to these Terms. This licence does not include any right to:

• Copy, reproduce, modify, or create derivative works of any part of the Service
• Resell, sublicense, or commercially exploit any content, data, or analysis from the Service
• Reverse-engineer, decompile, or disassemble any software component of the Service
• Remove or alter any proprietary notices or labels

All rights not expressly granted herein are reserved by SHB Terminal. Any unauthorised use of the Service's intellectual property may violate applicable law and may result in immediate termination of your account.

8. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree not to:

• Scrape, crawl, spider, or otherwise harvest any data, content, or information from the Service using automated means, bots, or scripts
• Redistribute, resell, sublicense, or commercially exploit any data, analysis, or content obtained from the Service
• Access or attempt to access any systems, data, or accounts that you are not authorised to access
• Upload, transmit, or distribute any malware, viruses, Trojan horses, or other harmful code
• Interfere with or disrupt the integrity, performance, or availability of the Service or its infrastructure
• Use the Service to violate any applicable law or regulation, including securities laws
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Use the Service in any manner that could damage, overburden, or impair our servers or networks

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund, and may expose you to civil and criminal liability.

9. Important Disclaimer — Not Financial Advice

You acknowledge and agree that:

• Any trading or investment decisions you make are your own sole responsibility
• You will conduct your own due diligence and research before making any investment decision
• You will consult a qualified, regulated financial professional before acting on any information obtained from the Service
• SHB Terminal expressly disclaims any and all liability for any losses, damages, or negative outcomes you may incur as a result of using, relying on, or acting upon any information or analysis provided through the Service

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHB TERMINAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunity
• Trading losses, investment losses, or financial losses of any kind
• Damages resulting from interruption, suspension, or termination of the Service
• Damages resulting from unauthorised access to or alteration of your data

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO SHB TERMINAL IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless SHB Terminal and its officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or inability to use the Service
• Your violation of these Terms
• Your violation of any applicable law, regulation, or third-party right
• Any content you submit or transmit through the Service
• Any trading or investment decisions made in reliance on information from the Service

12. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our Acceptable Use Policy
• Failure to pay subscription fees
• Conduct that we believe is harmful to other users, the Service, or third parties
• Requests by law enforcement or government authorities
• Extended periods of account inactivity

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination — including Sections 7, 9, 10, 11, and 13 — will survive.

You may terminate your account at any time by following the cancellation process described in Section 6 and deleting your account through account settings.

13. Governing Law

These Terms shall be governed by and construed in accordance with applicable international law and the laws of the jurisdiction in which SHB Terminal operates, without regard to conflict of law principles.

For users in the European Union, nothing in these Terms limits any rights you have under applicable EU consumer protection laws. For users in the United States, these Terms are governed by the laws of the State of Delaware.

Any disputes arising from these Terms that cannot be resolved informally shall be submitted to binding arbitration under the rules of a recognised international arbitration body, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Sending an email to the address associated with your account at least 14 days before changes take effect
• Displaying a prominent notice within the Service
• Updating the "Last updated" date at the top of this page

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree with the changes, you must cancel your subscription and stop using the Service before the changes become effective.
